Due Diligence Support

Deals can succeed or fail depending on the outcome of the due diligence process. This important task can, however, be time-consuming and costly.

We provide data room support that can be coupled with document review services. Our services include advice on suitable virtual data room platforms and pricing, setting up the data room, receiving and uploading documents, sorting/ renaming documents, preparing indices, configuring file/ folder access and user permissions, conducting a gap analysis, performing high-level sense checks, monitoring system access and liaising with third parties to source additional documentation.

Case study

legal project management + alternative resourcing + legal technology

A large retailer requested the assistance of the Legal Services Centre with the selection and implementation of a cost-effective and user-friendly virtual data room platform for use on a disposal transaction and the subsequent management of large volumes of data.

Solution

We advised the client on suitable platforms and provided comparative pricing. The client elected to use a platform internally managed by the Legal Services Centre. Paralegal support was provided to receive, sort and upload the data room content; perform gap analysis; liaise with the client's internal teams regarding outstanding information; and process requests for additional information.

Outcomes

The client benefitted from an end-to-end solution, provided by Webber Wentzel, involving fit-for-purpose virtual data room setup and paralegal support managed by a legal project manager, followed by the legal due diligence review, reporting, high-level legal and strategic matter advice provided by our specialist legal teams. The client was able to avoid the inconvenience of dealing with a third party platform vendor and achieved a significant reduction in the costs and administrative burden typically associated with due diligence. The virtual data room platform made available by the Legal Services Centre was attractively priced and regular updates were provided on data usage and associated costs, thus providing cost certainty. The client was freed up to focus on negotiating the deal commercials while knowing that the due diligence process was running smoothly in parallel.

Client testimonial: "… we have found the software very user-friendly and easy to access.  All of our bidders who have accessed the site have said that the setup and layout of the site is wonderful and self-explanatory without them needing to obtain any training before being able to register and log in and access the files.  We would definitely, and strongly, recommend it to any potential users as a safe, well-executed, easy-to-access platform for document sharing and data rooms in general. The supporting services that we have received have gone beyond our expectations as we have always been able to get a prompt response, even if outside of working hours. The staff have always bent over backwards to assist us whenever we need help."
